LAW7010 Agency & Partnership

This course will introduce students to basic business law principles. It covers the agency relationship and its consequences, focusing on such topics as contractual authority, vicarious liability, and fiduciary obligation. The course also covers formation, management, fidicuiary duties and dissolution of various unincorporated business entities, such as general partnerships, limited liability partnerships (LLPs), and limited liability companies (LLCs). Students learn how lawyers help their clients structure relationships and business entities to achieve their clients’ goals while minimizing unwanted liability. In addition, because lawyers are agents of their clients and many lawyers practice in one of these types of business orgnaizations, this course will be useful for most law school students.
